Acceptance of these terms

By accessing or using this website you accept these terms. If you do not accept them, please do not use the website. Where SmartCodex provides services to you, these terms apply together with the quotation, proposal or written agreement covering your project. In case of conflict, the signed project agreement prevails.

Services

SmartCodex provides website design and web development services, which may include website design, custom website development, landing pages, e-commerce websites, website redesign, UX/UI design, front-end development, website performance optimization, technical and on-page SEO, and website maintenance and updates.

The exact services, deliverables, timeline and price for a project are defined in a written quotation. Anything not listed in that quotation is not included in the project scope.

Quotations, orders and scope

Quotations are based on the information provided by the client at the time of the request and remain valid for the period stated on the quotation. A project is considered confirmed once the client accepts the quotation in writing and, where applicable, pays the agreed deposit.

Requests that fall outside the agreed scope — additional pages, new features, further design directions or extra revision rounds — are treated as a change request. We will confirm the impact on price and timeline in writing before carrying out any additional work.

Client responsibilities

To deliver a project on time we rely on the client to:

• Provide accurate information, content, text, images and brand assets within the agreed timeframe.
• Confirm that they own or have the right to use all content supplied to us, including images, logos, fonts and text.
• Provide the access required for the project, such as hosting, domain or third-party accounts.
• Give consolidated feedback and approvals at each stage of the process.

Delays in providing content, access or feedback will extend the project timeline accordingly. The client remains responsible for the legality and accuracy of the content they supply.

Timelines and delivery

Estimated timelines are given in good faith based on the agreed scope and the assumption that content, feedback and approvals arrive as planned. They are estimates, not guaranteed delivery dates, and may be affected by change requests, delays in client input or events outside our reasonable control.

Prices and payment

Prices are those stated in the accepted quotation. Unless agreed otherwise in writing, projects are invoiced with a deposit before work begins and the balance on completion, before final delivery or transfer of files.

Invoices are payable by the due date stated on the invoice. Late payment may result in the suspension of work and, where applicable, of ongoing maintenance services. Third-party costs such as domain names, hosting, premium plugins, stock assets or paid platform subscriptions are not included unless explicitly listed in the quotation.

Intellectual property

The client retains ownership of all content, trademarks and brand materials they supply.

On full payment of all invoices for the project, the client receives ownership of the final delivered website design and the custom front-end code produced specifically for that project, for use as their own website.

SmartCodex retains ownership of any generic tools, libraries, frameworks, methods and reusable components created before or independently of the project, and may continue to reuse them. Third-party components, fonts, plugins and stock assets remain subject to the licences of their respective owners; the client is responsible for maintaining any subscription or licence required after delivery.

SmartCodex may reference the completed project in a portfolio or in examples of past work, including screenshots and a link. If a client prefers their project not to be shown, they can request this in writing and we will respect it.

Search engines, performance and third-party services

SmartCodex implements recognised technical and on-page SEO practices, but search engine rankings, indexing, traffic volumes and conversion results depend on factors outside our control, including search engine algorithms, competition and the client's own content and marketing. No specific ranking, traffic, revenue or performance result is promised or guaranteed.

Similarly, website loading performance depends in part on the client's hosting, third-party scripts, plugins and content added after delivery. We optimise what is within the scope of the project and advise on the rest.

Where a project relies on third-party platforms or services, those services are governed by their own terms and availability, and we are not responsible for changes, outages or price changes on their side.

Maintenance, changes and support

Unless a maintenance agreement is in place, the project ends on delivery and acceptance of the website. Corrections of defects in our own work reported within a reasonable period after launch are handled at no additional cost.

Changes to content, new features, updates required by third-party platforms, and issues caused by modifications made by the client or another provider are billable, either hourly or under an agreed maintenance plan.

Cancellation

Either party may end a project in writing. If the client cancels, work completed up to the cancellation date remains payable, and any deposit already paid is retained against that work. Files and deliverables are transferred only once all amounts due for completed work have been settled.

Liability

SmartCodex provides its services with professional care and skill. To the fullest extent permitted by law, our total liability arising from a project is limited to the amount paid by the client for that project.

We are not liable for indirect or consequential losses, including loss of profit, loss of business, loss of data or loss of anticipated savings. We are not responsible for damage caused by the client's own hosting, by third-party services, by content supplied by the client, or by modifications made to the website after delivery by anyone other than SmartCodex.

Nothing in these terms excludes liability that cannot be excluded under applicable law, including the mandatory consumer rights of clients acting as consumers.

Use of this website

The content of smartcodex.site — including texts, layouts, graphics, code and the SmartCodex name and visual identity — is protected by intellectual property law and may not be copied, reproduced or reused without written permission.

Sample projects presented on this website are design concepts created by SmartCodex for demonstration purposes. They do not represent existing businesses and are not presented as completed client work.

The website is provided as it is. We aim to keep the information accurate and up to date, but we do not warrant that it is free of errors or that the website will always be available.

Governing law and disputes

These terms are governed by French law. In the event of a dispute, the parties will first try to reach an amicable solution. Failing that, the dispute will be submitted to the competent French courts, subject to the mandatory rules that may apply to clients acting as consumers.
